Job Description

  • Draft and negotiate corporate transaction documents, including purchase agreements and shareholder agreements.
  • Advise clients on mergers, acquisitions, and other corporate restructuring matters.
  • Collaborate with cross-functional teams to ensure compliance with corporate laws and regulations.
  • Conduct due diligence and prepare related reports for corporate transactions.
  • Provide ongoing support to clients regarding corporate governance and business operations.
  • Assist in the formation and structuring of entities, including startups and joint ventures.
  • Develop and maintain strong client relationships through effective communication and service delivery.
  • Stay updated on developments in corporate law to provide informed advice to clients.

The Successful Applicant

A successful candidate should have:

  • A Juris Doctor (JD) degree from an accredited law school and active bar membership in New York.
  • Strong knowledge of corporate law, including mergers, acquisitions, and governance.
  • Exceptional legal drafting and negotiation skills.
  • The ability to manage multiple priorities and deadlines effectively.
  • A proactive approach to problem-solving and attention to detail.
  • Strong interpersonal and communication skills for client interactions.
